1. Acceptance of Terms
By accessing or using the Systemic Ads platform (“Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, please discontinue use immediately. These Terms apply to all publishers, advertisers, and partners accessing any service offered by Systemic Ads (“Company”, “we”, “us”).
2. Platform Services
Systemic Ads provides a programmatic advertising platform that connects publishers and demand-side partners through OpenRTB-compliant infrastructure. Services include:
- Real-time bidding (RTB) and header bidding integrations
- Ad inventory management and yield optimization
- Invalid traffic (IVT) detection and fraud prevention
- Reporting and analytics dashboards
3. Publisher Eligibility
Publishers must meet the following minimum requirements to participate in the Systemic Ads network:
- Ownership or authorized control of submitted domains
- Compliance with all applicable laws and advertising standards
- Minimum monthly unique visitor threshold as determined during onboarding
- Content must not violate our prohibited content policy (Section 6)
Systemic Ads reserves the right to approve or reject publisher applications at its sole discretion.
4. Payment Terms
Publishers are compensated on a Net-30 basis following the close of each calendar month, provided the minimum payment threshold of USD $100 has been reached. Payments are issued via wire transfer or PayPal. Systemic Ads reserves the right to withhold payment pending fraud investigation. Disputed charges must be raised within 30 days of invoice issuance.
5. Traffic Quality Standards
All traffic delivered through the Platform must be human and organic. Publishers are strictly prohibited from:
- Incentivizing ad clicks or impressions
- Using bots, scripts, or automated tools to generate traffic
- Misrepresenting inventory attributes in bid requests
- Engaging in ad stacking or pixel stuffing
Violations will result in immediate account suspension and forfeiture of outstanding balances.
6. Prohibited Content
Publisher inventory must not contain or promote: illegal goods or services, adult content without proper age-gating, malware or deceptive software, content that discriminates based on protected characteristics, or any content that violates IAB content standards.
7. Intellectual Property
All Platform technology, algorithms, branding, and documentation remain the exclusive property of Systemic Ads. Partners are granted a limited, non-exclusive, non-transferable license to access and use the Platform solely for the purpose of delivering ad inventory.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Systemic Ads shall not be liable for indirect, incidental, special, or consequential damages arising from use of the Platform, including but not limited to lost revenue, data loss, or service interruptions. Our total liability shall not exceed the amounts paid by you to Systemic Ads in the three months preceding the claim.
9. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of the business relationship, including pricing terms, technology specifications, and publisher performance data.
10. Termination
Either party may terminate this agreement with 30 days written notice. Systemic Ads may terminate immediately for material breach, fraud, or violation of these Terms. Upon termination, all licenses granted hereunder shall cease, and outstanding balances will be settled per payment terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.
